Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Drift Minds ("Company," "we," "our," or "us"). By accessing our website at driftminds.com, submitting an enquiry, placing an order, or engaging our services in any manner, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not use our Website or services. If you are placing an order on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

These Terms should be read in conjunction with our Privacy Policy and Refund & Return Policy, which are incorporated herein by reference.

Drift Minds is a custom apparel manufacturing company registered and operating in India, with offices in Patna, Bihar and Kolkata, West Bengal. We specialize in the design, manufacture, and delivery of custom-branded garments for:

• Educational institutions (IITs, NITs, universities, colleges, schools)
• Corporate organizations and startups
• Event management companies
• D2C brands and fashion labels
• NGOs, clubs, and community organizations

Our manufacturing process follows a structured workflow to ensure quality and transparency:

Accepted Payment Methods

• Bank Transfer: NEFT / RTGS / IMPS to our business bank account
• UPI: Google Pay, PhonePe, Paytm, or any UPI-enabled app
• Cheque / DD: For orders exceeding ₹1,00,000 (subject to clearance before production)

Additional Payment Terms

• All payments must be made in Indian Rupees (INR)
• A GST-compliant invoice will be issued for every transaction
• Late payments may result in production delays; Drift Minds is not liable for delivery timeline extensions caused by delayed payments
• For repeat clients with established relationships, credit terms may be negotiated on a case-by-case basis
• Sample charges are payable upfront and are non-refundable (but adjustable against bulk orders placed within 30 days)

Quality is the cornerstone of our manufacturing process. Every order undergoes:

• Fabric Inspection: Incoming fabric is checked for GSM, color consistency, and defects before cutting
• Cutting Accuracy: Patterns are verified against the approved size chart with ±0.5 inch tolerance
• Stitching Quality: Each garment is inspected for seam strength, alignment, and finish
• Print/Embroidery Check: Artwork placement, color accuracy, and finish are verified against the approved sample
• Final Inspection: 100% inspection of finished garments before packaging, checking for loose threads, stains, sizing, and overall appearance
• Packaging: Individual poly-packing with size labels, sorted by size and bundled for easy distribution

Despite rigorous checks, industry-standard tolerance of up to 2% defective pieces is considered acceptable in bulk garment manufacturing. Any defects beyond this threshold are addressed through our Refund & Return Policy.

9.1 Client's Intellectual Property

• All designs, logos, artwork, and branding materials provided by the Client remain the exclusive intellectual property of the Client
• Drift Minds will use Client-provided intellectual property solely for the purpose of fulfilling the manufacturing order
• We will not reproduce, distribute, or share Client designs with third parties without explicit written consent
• Upon order completion, all Client design files will be securely stored for reorder purposes and deleted upon Client request

9.2 Client's Responsibility

• The Client warrants that all designs, logos, and artwork submitted for production are either original creations or the Client holds proper licenses/permissions to reproduce them
• The Client shall indemnify Drift Minds against any claims, damages, or legal actions arising from intellectual property infringement in the submitted designs
• Drift Minds reserves the right to refuse orders that appear to infringe on third-party trademarks, copyrights, or contain offensive/illegal content

9.3 Drift Minds' Intellectual Property

• The Drift Minds brand name, logo, website content, and proprietary manufacturing processes are the exclusive property of Drift Minds
• Clients may not use the Drift Minds brand or claim affiliation without written permission
• With the Client's consent, Drift Minds may use photographs of completed orders (without Client branding visible) for portfolio and marketing purposes

Both parties agree to maintain confidentiality of all proprietary information shared during the course of business, including:

• Pricing structures and custom quotes
• Design files, tech-packs, and specifications
• Business strategies, client lists, and operational details
• Financial information and payment details

This confidentiality obligation survives the termination of the business relationship for a period of 2 years. For clients requiring formal Non-Disclosure Agreements (NDAs), Drift Minds is willing to execute such agreements upon request.

To the maximum extent permitted by applicable Indian law:

• Maximum Liability: Drift Minds' total liability for any claim arising out of or related to an order shall not exceed the total amount paid by the Client for that specific order
• Consequential Damages: Drift Minds shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, business opportunities, or goodwill
• Third-Party Claims: Drift Minds is not liable for any claims arising from the Client's use or distribution of the manufactured garments
• Design Errors: Drift Minds is not liable for errors in the final product that result from incorrect design files, specifications, or information provided by the Client and approved by the Client before production
• Color Variations: Minor color variations between screen/monitor displays and the actual printed/dyed garment are inherent in the manufacturing process and do not constitute a defect

The Client agrees to indemnify, defend, and hold harmless Drift Minds, its directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Intellectual property infringement in designs submitted by the Client
• Misrepresentation of rights to use logos, trademarks, or copyrighted material
• Violation of any applicable law by the Client in the use or distribution of manufactured garments
• Any third-party claims related to the Client's products or business activities

Drift Minds shall not be held liable for any failure or delay in performance resulting from events beyond our reasonable control ("Force Majeure Events"), including but not limited to:

• Natural disasters (floods, earthquakes, cyclones)
• Epidemics, pandemics, or public health emergencies
• Government actions, regulatory changes, or trade restrictions
• Strikes, labor disputes, or supply chain disruptions
• Power outages, internet failures, or infrastructure damage
• War, terrorism, civil unrest, or riots
• Raw material shortages or sudden price escalations beyond our control

In the event of a Force Majeure situation, we will:

1. Notify the Client promptly about the situation and expected impact
2. Make reasonable efforts to mitigate the delay
3. Provide revised timelines once the situation normalizes
4. Offer the option to cancel the order with a full refund of the advance payment if the delay exceeds 30 days

By using the Drift Minds website, you agree to the following:

• Accuracy of Information: While we strive to ensure the accuracy of all information on our Website (including product descriptions, prices, and images), we do not guarantee that all content is error-free. Product images are for illustration purposes and may vary slightly from actual products.
• Prohibited Use: You may not use our Website for any unlawful purpose, to collect user data without consent, to distribute malware, or to attempt to gain unauthorized access to our systems.
• Third-Party Links: Our Website may contain links to third-party websites. We are not responsible for the content or privacy practices of these external sites.
• Availability: We do not guarantee uninterrupted or error-free access to our Website. We may modify, suspend, or discontinue any part of the Website at any time without notice.

Either party may terminate the business relationship under the following circumstances:

• Mutual Agreement: Both parties agree in writing to terminate the engagement
• Material Breach: One party materially breaches these Terms and fails to remedy the breach within 15 days of written notice
• Insolvency: Either party becomes insolvent, bankrupt, or ceases business operations

Upon termination:

• All outstanding payments become immediately due
• Completed or in-progress orders will be handled per the Refund & Return Policy
• Confidentiality obligations survive termination for 2 years
• Client design files will be securely deleted within 30 days of termination (unless retention is required by law)

• These Terms are governed by and construed in accordance with the laws of India
• Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Patna, Bihar, India
• Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation and, if necessary, mediation
• Applicable laws include the Indian Contract Act, 1872; the Consumer Protection Act, 2019; the Sale of Goods Act, 1930; and the Information Technology Act, 2000

Drift Minds reserves the right to modify these Terms at any time. Changes will be effective upon posting on this page with an updated "Last Updated" date. Material changes will be communicated to existing clients via email. Your continued use of our services after any modification constitutes acceptance of the revised Terms.

For confirmed orders, the Terms in effect at the time of order confirmation shall apply to that order.
